Terms & Conditions

These Terms & Conditions govern the use of the PoradaGroup website, purchases of automotive parts and related products, business-to-business supply, vehicle sourcing, import coordination and other automotive services provided by PORADA GROUP, MB.

Important: Individual quotations, invoices, order confirmations, transport agreements or sourcing agreements may contain additional conditions specific to a particular transaction. Where such transaction-specific conditions have been expressly accepted, they form part of the agreement.

Scope of These Terms

These Terms & Conditions apply to transactions and services provided by PORADA GROUP, MB through the PoradaGroup website, email, telephone, messaging platforms, quotations, invoices and other agreed communication channels.

Depending on the particular transaction, PORADA GROUP, MB may act as:

  • a seller of automotive parts, accessories or other products;
  • a wholesale supplier;
  • a sourcing service provider;
  • a vehicle procurement coordinator;
  • an import or logistics coordinator;
  • or another role expressly identified in the quotation, invoice or agreement.

The exact scope of our obligations is determined by the accepted quotation, order confirmation, invoice or other written agreement relating to the relevant transaction.

Nothing in these Terms is intended to exclude, limit or replace mandatory rights available to consumers under applicable Lithuanian or European Union law.

Products and Services

PORADA GROUP, MB operates in the automotive sector and may provide products and services including, but not limited to:

Retail Auto Parts

Supply of automotive spare parts, accessories and related products to individual and business customers.

Wholesale Supply

B2B supply of automotive parts to workshops, retailers, distributors, vehicle traders and other professional customers.

Vehicle & Parts Sourcing

Identification, sourcing and procurement coordination for vehicles and automotive parts from international markets.

International Logistics

Coordination of vehicle and parts transportation, including shipments from the United States and China to Lithuania and other European destinations.

Availability, specifications, prices and delivery times may depend on suppliers, manufacturers, auction platforms, transport providers, customs authorities and other third parties.

Quotations, Orders and Contract Formation

Information displayed on the website is intended to provide general commercial information and does not necessarily constitute a legally binding offer.

A request for a quotation submitted by a customer does not by itself create a binding contract.

Unless expressly stated otherwise, an order becomes binding after the customer accepts the applicable quotation or order confirmation and any required payment or deposit has been received.

A quotation may specify:

  • product or vehicle description;
  • OEM, SKU or reference numbers;
  • quantity;
  • price;
  • VAT treatment;
  • transport charges;
  • estimated dispatch or delivery time;
  • deposit or prepayment requirements;
  • customs or import conditions;
  • insurance where applicable;
  • quotation validity period;
  • and additional transaction-specific conditions.

Product availability is not guaranteed until the relevant supplier, warehouse, manufacturer or other source has confirmed availability where such confirmation is required.

We reserve the right to decline an order before a binding contract has been formed, including where a product is unavailable, incorrectly priced, affected by an obvious description error, restricted for export or import, or cannot reasonably be supplied.

Business Customers and Consumers

Some provisions of these Terms apply differently depending on whether the customer is acting as a consumer or in the course of a business, trade or professional activity.

Consumer Customers

A consumer is an individual acting primarily for purposes outside their trade, business, craft or profession.

Mandatory consumer protection rights under applicable Lithuanian and European Union law remain unaffected by these Terms.

Business Customers

A business customer includes a company, workshop, dealer, distributor, professional buyer or other person purchasing primarily for business or professional purposes.

Consumer-specific rights, including statutory distance-selling withdrawal rights, do not automatically apply to B2B transactions.

Prices, VAT, Customs and Other Charges

Prices are stated in the currency indicated in the relevant quotation, invoice, product page or order confirmation.

Unless expressly stated otherwise, quotations may exclude costs that cannot reasonably be determined in advance, including international transport, customs duties, import VAT, port charges, customs brokerage, registration fees, homologation costs and destination-country taxes.

VAT treatment depends on the customer, destination, nature of the supply and applicable tax legislation.

International Orders

Import VAT, customs duties, customs brokerage, registration taxes, port charges and other destination-country charges are not automatically included unless expressly stated as included in the relevant quotation or agreement.

Where a transaction may qualify for zero-rated VAT or another specific VAT treatment, such treatment remains subject to the applicable legal requirements and availability of the required supporting documentation.

A foreign address or foreign VAT number alone does not automatically guarantee that a transaction qualifies for zero-rated VAT.

Business customers are responsible for providing accurate company and VAT information where relevant.

Payment

Available payment methods and payment schedules are specified in the applicable quotation, invoice or checkout process.

Depending on the transaction, PORADA GROUP, MB may require:

  • full prepayment;
  • a reservation payment;
  • a procurement deposit;
  • staged payments;
  • or another payment arrangement agreed in writing.

For sourcing, special-order, wholesale, auction or international procurement transactions, work may begin only after the agreed advance payment has cleared.

Bank charges, currency conversion costs, intermediary bank charges or payment-provider fees are borne by the party specified in the quotation or according to the applicable payment-provider rules.

Automotive Parts, OEM Numbers and Vehicle Fitment

Customers should provide accurate vehicle information where compatibility is relevant.

This may include:

  • VIN or chassis number;
  • vehicle manufacturer;
  • model;
  • production year;
  • engine code;
  • gearbox type;
  • OEM or manufacturer part number;
  • and other technical information reasonably requested.

Customers must check that information supplied to us is accurate. Incorrect or incomplete VIN, OEM, vehicle or technical information may result in an incompatible product being ordered.

References to an OEM number, vehicle model or compatibility are intended to assist identification but do not replace professional inspection, diagnosis or installation where reasonably required.

Where compatibility cannot be determined with reasonable certainty, PORADA GROUP, MB may request additional information before processing an order.

Installation should be performed by a suitably qualified technician where the nature of the component requires professional installation.

Special Orders and Individually Sourced Products

Some products may be ordered or sourced specifically for an individual customer rather than supplied from ordinary stock.

This may include uncommon automotive parts, products with customer-specific specifications or products obtained specifically against a confirmed customer request.

Important consumer notice

Describing an item as a “special order” does not by itself remove a consumer's statutory right of withdrawal.

A statutory exception may apply where a product genuinely meets the legal requirements for goods made according to the consumer's specifications or clearly personalised for the consumer.

Where such an exception is relevant, this will be communicated to the consumer before the order becomes binding.

Separate cancellation conditions may apply to B2B procurement and individually sourced business orders where supplier commitments have already been made.

Vehicle Sourcing and International Procurement

PORADA GROUP, MB may assist customers with sourcing or procurement of vehicles from international markets, including the United States and China.

Depending on the transaction, services may include:

  • identifying suitable vehicles;
  • communicating with sellers, dealers or auction providers;
  • purchase coordination;
  • inland transportation;
  • port handling;
  • ocean or road transportation;
  • customs documentation coordination;
  • delivery to Lithuania or another European destination;
  • and other services expressly included in the quotation.

Role of PORADA GROUP, MB

Our legal and commercial role may differ between transactions. PORADA GROUP, MB may act as seller, purchaser and reseller, sourcing service provider or logistics and procurement coordinator.

The applicable quotation, invoice or vehicle sourcing agreement will determine our role in the specific transaction.

Vehicle Condition

Where a vehicle is purchased from an auction, dealer or third-party seller, information regarding its condition may be based partly on photographs, inspection reports, auction records, seller information or other information supplied by third parties.

Such information may not reveal every mechanical, structural, electrical, cosmetic or hidden defect.

PORADA GROUP, MB will not knowingly misrepresent information available to us. However, unless expressly agreed otherwise or required by mandatory law, we cannot guarantee the accuracy of third-party auction or seller information beyond information independently verified by us.

Registration and Homologation

Requirements for vehicle registration, homologation, emissions, lighting, charging standards, connectivity, software and technical compliance vary between countries.

Unless expressly included in our quotation, the customer is responsible for confirming that a particular imported vehicle can be legally registered and operated in the intended destination country.

Homologation, registration, modification or certification services are included only when expressly stated in writing.

Shipping and Delivery

Delivery times shown on the website or provided before final confirmation are estimates unless a specific delivery deadline has been expressly agreed.

Delivery times may depend on:

  • supplier availability;
  • manufacturer processing;
  • international transport schedules;
  • customs clearance;
  • port operations;
  • carrier availability;
  • weather;
  • public authorities;
  • and other circumstances outside reasonable control.

For consumer sales, where no different delivery period has been agreed, delivery will be performed within the period required by mandatory applicable consumer law.

Under Lithuanian consumer rules this is generally no later than 30 days after conclusion of the contract where another delivery period has not been agreed.

Damage During Delivery

Customers should inspect shipments promptly on delivery whenever reasonably possible.

Visible transport damage should be recorded with the carrier on the delivery document, CMR, proof of delivery or other applicable transport record and supported by photographs.

Failure to record visible damage does not remove rights that cannot legally be waived, but prompt documentation may be essential when making a transport or insurance claim.

Cargo Insurance

Carrier liability and separate cargo insurance are not necessarily the same.

Cargo or vehicle transport insurance is included only where expressly stated in the quotation, transport agreement or insurance documentation.

Risk and Transfer of Goods

Transfer of risk depends on the nature of the customer and the agreed delivery arrangement.

For consumer transactions, statutory rules governing transfer of risk remain fully applicable.

For B2B transactions, the applicable delivery term, Incoterm where used, quotation, transport agreement or order confirmation may determine when risk transfers to the customer.

Consumer Withdrawal, Cancellations and Returns

Consumers purchasing through a distance contract may have the statutory right to withdraw from an eligible contract within 14 days without giving a reason, subject to applicable exceptions.

For goods, the statutory withdrawal period generally begins when the consumer receives the goods.

The right of withdrawal does not apply in every situation. Applicable statutory exceptions may include goods made according to the consumer's specifications or clearly personalised goods where the legal conditions for that exception are fulfilled.

B2B Returns

Business purchases do not automatically benefit from consumer withdrawal rights.

Returns or cancellations of B2B orders are accepted only where required by law or expressly agreed in writing.

Product Conformity, Warranty and Claims

Mandatory consumer rights relating to product conformity and legal guarantees remain unaffected by these Terms.

Under applicable EU consumer rules, consumers purchasing eligible goods from a professional seller generally benefit from a minimum two-year legal guarantee for lack of conformity.

A manufacturer's commercial warranty, where available, is separate from statutory consumer rights and does not replace them.

Warranty or conformity claims may require reasonable supporting information, including:

  • order or invoice number;
  • description of the problem;
  • photographs or video;
  • vehicle VIN or technical information;
  • diagnostic report;
  • installation documentation;
  • or other relevant evidence.

Damage resulting solely from incorrect installation, misuse, accident, unauthorized modification, abnormal motorsport use, external impact or ordinary wear is not treated as an inherent product defect unless otherwise required by applicable law.

Website Information and Product Images

We make reasonable efforts to keep product descriptions, specifications, photographs and other website information accurate.

Manufacturers and suppliers may nevertheless change specifications, packaging, product revisions or designs without prior notice.

Product images may be illustrative. Minor differences in appearance, packaging, labels or production revision do not necessarily constitute non-conformity where the supplied product otherwise corresponds to the agreed specification.

Nothing in this section limits mandatory rights relating to goods that materially differ from their agreed description or required characteristics.

Third-Party Suppliers and Service Providers

International automotive transactions may involve manufacturers, distributors, auction houses, dealers, carriers, freight forwarders, ports, customs brokers, insurers, inspection providers and other independent third parties.

PORADA GROUP, MB is responsible for its own contractual obligations and does not seek to exclude liability that cannot legally be excluded.

We are not responsible for independent acts or omissions of third parties where those acts are outside our reasonable control and applicable law does not place responsibility for them on PORADA GROUP, MB.

Limitation of Liability

To the maximum extent permitted by applicable law, PORADA GROUP, MB is not liable for indirect, incidental or consequential commercial losses arising from circumstances outside our reasonable control.

For business customers, this may include loss of profit, business interruption, loss of opportunity or similar indirect commercial loss, unless liability cannot lawfully be limited.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including mandatory consumer protection rules.

Events Outside Our Reasonable Control

PORADA GROUP, MB shall not be responsible for delay or failure caused by circumstances outside our reasonable control to the extent permitted by law.

Such circumstances may include:

  • natural disasters;
  • war or armed conflict;
  • government restrictions or sanctions;
  • border closures;
  • port congestion;
  • customs delays;
  • industrial action;
  • transport disruption;
  • carrier cancellation;
  • supplier interruption;
  • power or communication failures;
  • or comparable events outside reasonable control.

Where such circumstances occur, we will make reasonable efforts to communicate material delays and identify an appropriate solution.

Website and Intellectual Property

Unless otherwise stated, website content created by or for PORADA GROUP, MB, including text, graphics, layouts, company materials and original visual content, may not be copied, reproduced or commercially redistributed without permission except where permitted by law.

Manufacturer names, vehicle names, trademarks, OEM references and logos belong to their respective owners.

Their use for product identification or compatibility purposes does not imply affiliation with or endorsement by the relevant manufacturer unless expressly stated.

Personal Data and Privacy

Personal data provided in connection with enquiries, quotations, purchases, sourcing services or website use is processed in accordance with applicable data-protection legislation and our Privacy Policy.

Information may be shared with suppliers, carriers, customs brokers, financial institutions or other service providers where reasonably necessary to perform the relevant transaction or comply with legal obligations.

Complaints and Dispute Resolution

If you believe that a product or service has not been provided in accordance with the agreement, please contact us first so that the issue can be reviewed.

Consumer complaints should include sufficient information to identify the transaction and understand the requested resolution.

Where Lithuanian consumer law applies, PORADA GROUP, MB will provide a reasoned response to a consumer's written claim within the period required by applicable law.

If a consumer dispute cannot be resolved directly, an eligible consumer may contact the Lithuanian State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba — VVTAT) or another competent alternative dispute-resolution body.

Applicable Law

These Terms and contractual relationships with PORADA GROUP, MB are governed by the laws of the Republic of Lithuania, unless mandatory applicable law requires otherwise.

For consumers, this choice of law does not deprive the consumer of mandatory protection that may apply under the laws of their country of habitual residence where such protection is applicable.

Business disputes shall be submitted to competent courts determined under applicable Lithuanian and European Union rules unless another dispute-resolution procedure has been expressly agreed.

Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary, and the remaining provisions shall continue in full force to the extent permitted by law.

The invalidity of one provision does not automatically invalidate the remainder of these Terms.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business processes or applicable legal requirements.

The version applicable to a transaction is generally the version accepted or otherwise applicable when the relevant contract was concluded, unless the parties lawfully agree otherwise.

Updated Terms will be published on this website with the applicable revision date.
